Welcome to Adje Studio. By engaging in any services with Adje Studio, you agree to the following terms and conditions. Please read them carefully before proceeding.

1. Services

Adje Studio provides web design, development, and digital design services ("Services"). The specific Services, project scope, and deliverables will be defined and agreed upon in a formal project proposal or contract prior to the commencement of work.

2. Payment Terms

The payment structure for all Services provided by Adje Studio is as follows:

  • 50% Deposit: Upon acceptance of the proposal and before work commences, a non-refundable deposit equal to 50% of the total project fee is required.

  • 50% Final Payment: The remaining 50% of the total project fee is due upon completion of the project, before the final deliverables are handed over.

Payment instructions will be provided, and payment must be made via the agreed-upon payment methods. Adje Studio reserves the right to withhold the delivery of any final work until the full final payment is received.

3. Late Payment

In the event of late payment, Adje Studio reserves the right to suspend work until full payment is received. A late fee may be applied to overdue invoices. If payment is not received within the agreed time period. Adje Studio may consider the project terminated and retain the 50% deposit as compensation for work already completed.

4. Project Timeline

The timeline for project completion will be mutually agreed upon at the start of the project and outlined in the project proposal. Timely delivery of the project is contingent upon prompt feedback and cooperation from the client. Any delays caused by the client may result in an extension of the delivery timeline.

5. Revisions

Adje Studio includes [insert number] rounds of revisions to the design. Any revisions or requests beyond the agreed-upon rounds may incur additional charges, which will be communicated and agreed upon by both parties prior to being processed.

6. Client Responsibilities

The client agrees to:

  • Provide all necessary materials and information for the project (e.g., text, images, branding guidelines, etc.) in a timely manner.

  • Ensure that all materials provided are free from copyright infringement and have the necessary permissions for use.

  • Provide prompt feedback and approval throughout the design and development process.

Failure to provide necessary materials or timely feedback may result in delays or additional charges.

7. Intellectual Property

Upon full payment, the client will retain ownership of all final deliverables. Adje Studio retains the right to use completed work for portfolio, promotional, or marketing purposes, unless otherwise agreed upon.

8. Confidentiality

Both parties agree to maintain confidentiality regarding any confidential or proprietary information shared during the course of the project. This includes, but is not limited to, business strategies, customer lists, marketing plans, and any other sensitive materials.

9. Cancellation and Termination

Either party may terminate the project at any time by providing written notice. In the event of cancellation:

  • If the client terminates before work commences, the 50% deposit will be forfeited.

  • If the client terminates after work has commenced, the client is responsible for paying for any completed work up to the point of termination, and the 50% deposit is non-refundable.

If Adje Studio terminates the project due to non-payment or other breaches of these terms, the client will be responsible for any work completed up until the point of termination.

10. Liability

Adje Studio will make reasonable efforts to ensure the Services provided are of high quality. However, Adje Studio does not accept liability for:

  • Any losses, damages, or third-party claims arising from the use of the design, website, or digital products created.

  • Issues caused by third-party services, such as hosting or domain providers.

11. Amendments

Adje Studio reserves the right to update or modify these terms and conditions at any time. Clients will be notified of any significant changes, and the latest version will be available on Adje Studio’s website.

12. Acceptance

By engaging Adje Studio for Services, you acknowledge and agree to the above terms and conditions.
